These Terms of Use (“Terms”) govern your access to and use of the websites and other online properties operated by or on behalf of BioDuro LLC and its affiliates that operate or provide content through the Site (“BioDuro,” “we,” “our,” or “us”) and that link to these Terms, including www.bioduro.com (collectively, the “Site”).

Please read these Terms carefully. These Terms govern your access to and use of the Site. By accessing or using the Site after being provided notice of these Terms, or by clicking a button or taking another action that indicates your acceptance of these Terms, you agree to be bound by them. If you do not agree to these Terms, you should not access or use the Site.

These Terms govern use of the Site only. Research, development, manufacturing, consulting, or other services provided by BioDuro may be governed by separate written agreements. If these Terms conflict with a separate written agreement between BioDuro and you or your organization regarding such services, the separate written agreement will control with respect to those services.

  1. Eligibility

The Site is intended for individuals who are at least eighteen (18) years of age. By using the Site, you represent that you are at least 18 years old and have the legal capacity to agree to these Terms.

  1. Privacy, Cookies, and Online Tracking

Our Privacy Policy describes how BioDuro collects, uses, discloses, and otherwise processes Personal Information in connection with the Site and our business activities.

We and third parties may use cookies, pixels, local storage, analytics technologies, and other similar technologies in connection with the Site. Some of these technologies are necessary for the Site to operate. Others may be used for analytics, functionality, personalization, advertising, and other purposes described in our Privacy Policy.

Where required by applicable law, non-essential cookies and similar technologies are used only in accordance with the choices you make through our cookie banner and cookie preference manager.

You can review or change your cookie preferences at any time by selecting “Your Privacy Choices” on the Site.

Your acceptance of these Terms does not constitute consent to non-essential cookies and does not waive any privacy rights available to you under applicable law.

  1. Informational Purposes

The Site provides general information about BioDuro, our scientific expertise, capabilities, facilities, services, resources, events, and business activities.

Information provided through the Site is for general informational purposes only. It does not constitute medical, clinical, regulatory, legal, financial, investment, or other professional advice and should not be relied upon as such.

Nothing on the Site constitutes an offer by BioDuro to provide services or enter into any transaction or agreement, or a guarantee or representation that BioDuro will achieve a particular scientific, clinical, regulatory, manufacturing, or commercial result. No request for information, project inquiry, quotation request, communication, or other submission through the Site creates a binding obligation on BioDuro to provide services or enter into any agreement.

Specific services and deliverables provided by BioDuro are governed by the applicable written agreements entered into with our clients.

  1. Accuracy and Availability of Information

BioDuro makes reasonable efforts to provide accurate and current information on the Site. However, scientific, technical, regulatory, operational, and other information may change over time.

BioDuro does not warrant that information on the Site will always be accurate, complete, current, or error-free.

News releases, scientific materials, presentations, articles, and other dated content speak only as of the date identified and may not be subsequently updated.

We may modify, correct, suspend, remove, or discontinue Site content or functionality at any time.

  1. Permitted Use

BioDuro grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site solely for your own lawful informational purposes or for the purpose of evaluating a potential business relationship with BioDuro, in each case in accordance with these Terms.

You may not:

  • use the Site in violation of applicable law or regulation;
  • attempt to gain unauthorized access to the Site, systems, networks, accounts, or data;
  • interfere with or disrupt the operation, integrity, performance, or security of the Site;
  • introduce viruses, malicious code, malware, or other harmful technology;
  • impersonate another individual or organization or misrepresent your identity or affiliation;
  • use automated tools to scrape, crawl, harvest, extract, or systematically collect Site Content or data, or use Site Content to create, populate, enhance, or commercialize any database, dataset, directory, competitive intelligence product, or similar resource, except where expressly authorized by BioDuro or permitted by applicable law;
  • use Site Content to develop, train, test, validate, improve, or operate any artificial intelligence, machine learning, large language model, or similar automated system, or for text or data mining, without BioDuro’s prior written authorization, except to the extent such restriction is prohibited by applicable law;
  • circumvent or attempt to circumvent technical restrictions or security measures;
  • use Site content in a manner that infringes the intellectual property, privacy, publicity, or other rights of BioDuro or another party; or
  • use the Site for fraudulent, abusive, unlawful, or otherwise improper purposes.

BioDuro may restrict or terminate access to the Site if we reasonably believe these Terms have been violated.

  1. Intellectual Property

The Site and its contents, including text, scientific materials, publications, photographs, graphics, designs, videos, software, interfaces, databases, trademarks, service marks, logos, trade names, and other materials (“Site Content”), are owned by or licensed to BioDuro and are protected by applicable intellectual property laws.

The BioDuro name, BioDuro logo, Sundia name, BioDuro-Sundia name, and related marks are trademarks or other protected intellectual property of BioDuro, its affiliates, or their licensors unless otherwise indicated.

Except as expressly permitted in these Terms, Site Content may not be reproduced, modified, distributed, published, transmitted, displayed, sold, licensed, commercially exploited, or used to create derivative works without prior written authorization from BioDuro or the applicable rights holder.

You may download or print reasonable portions of publicly available Site Content for your personal or internal business use, provided that you do not modify the content or remove copyright, trademark, or other proprietary notices.

Except for the limited right to access and use the Site expressly granted under these Terms, no right, title, interest, license, or other right in or to any patent, patent application, copyright, trademark, trade secret, know-how, technology, process, methodology, data, software, or other intellectual property of BioDuro or its affiliates is granted or implied by these Terms, whether by implication, estoppel, exhaustion, or otherwise.

Certain Site Content may be owned by third parties and is made available subject to the rights of the applicable owner. Nothing in these Terms grants any rights in third-party content beyond those expressly permitted by the applicable rights holder or applicable law.

  1. Communications and Information You Submit

The Site may allow you to contact BioDuro, submit inquiries, request information, register for events or webinars, download resources, subscribe to communications, submit privacy requests, or otherwise communicate with us.

Personal Information submitted through the Site is handled as described in our Privacy Policy.

You should not submit confidential, proprietary, sensitive, patient, clinical-trial, protected health, or other information requiring special protection through general Site forms, public-facing email addresses, chatbot functions, or other general-purpose Site features unless BioDuro has specifically requested that information through an appropriate channel.

Nothing in these Terms alters or overrides confidentiality obligations contained in a nondisclosure agreement, master services agreement, statement of work, data processing agreement, or other written agreement between BioDuro and you or your organization.

Submission of an inquiry or other information through the Site does not create a confidential, fiduciary, advisory, client, or other special relationship between you and BioDuro, except to the extent otherwise provided in a separate written agreement.

Privacy rights requests and Personal Information submitted in connection with those requests will not be treated as general feedback or licensed to BioDuro under Section 8 below.

  1. Feedback

If you voluntarily provide suggestions, ideas, recommendations, or other feedback specifically concerning the Site, BioDuro’s services, or our business (“Feedback”), BioDuro may use that Feedback for lawful business purposes without compensation or obligation to you.

This provision does not apply to:

  • Personal Information;
  • privacy rights requests;
  • employment applications or resumes;
  • confidential information protected by a separate agreement;
  • client project materials; or
  • information submitted solely for the purpose of requesting or obtaining BioDuro services.

You represent that you have the right to provide any Feedback you submit.

  1. Chatbot and Automated Features

The Site may include chatbots, artificial intelligence tools, automated assistants, or similar interactive features.

BioDuro and our third-party vendors may monitor, record, and access chats to respond to you and for quality, training, improvement, security, and other legitimate business purposes, as further described in our Privacy Policy.

You should not submit confidential business information, trade secrets, patient information, clinical-trial data, protected health information, sensitive Personal Information, or other information that you are not authorized to disclose through a chatbot or other general-purpose interactive feature.

Responses provided by chatbots or automated features are for general informational purposes and may be generated automatically. They may be incomplete or inaccurate and should not be relied upon as scientific, medical, clinical, regulatory, legal, or other professional advice.

  1. Third-Party Websites and Services

The Site may contain links to websites, platforms, services, content, or resources operated by third parties.

BioDuro does not control and is not responsible for third-party websites or services, including their content, availability, security, products, services, terms, or privacy practices.

Your use of third-party websites and services is subject to the applicable third party’s own terms and policies.

The inclusion of a third-party link does not necessarily constitute BioDuro’s endorsement of that third party, its content, products, or services.

  1. Site Security

BioDuro takes measures designed to protect the Site and information processed through it. However, no website, electronic communication, or Internet transmission can be guaranteed to be completely secure.

You are responsible for taking reasonable precautions when accessing the Site and for protecting devices, accounts, credentials, and systems under your control.

You may not attempt to probe, test, circumvent, disable, or interfere with the security of the Site without BioDuro’s express authorization.

  1. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

BIODURO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, RELATING TO THE SITE OR SITE CONTENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

BIODURO DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIODURO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF BIODURO AND THE OTHER BIODURO PARTIES ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT, IF ANY, YOU PAID BIODURO SPECIFICALLY FOR ACCESS TO THE SITE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY TO THE EXTENT SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

  1. Privacy and Other Non-Waivable Rights

Nothing in these Terms is intended to waive, restrict, or limit rights that cannot lawfully be waived or restricted.

  1. Other Agreements with BioDuro

These Terms govern your use of the Site.

If you, your employer, or your organization has entered into another written agreement with BioDuro, including a confidentiality agreement, master services agreement, statement of work, quality agreement, or data processing agreement, that agreement remains in effect according to its terms.

If these Terms conflict with another written agreement regarding matters governed by that agreement, the applicable written agreement will control.

  1. Changes to These Terms

We may update these Terms from time to time.

When changes are made, we will revise the “Last Updated” date at the top of this page. Where required by applicable law or appropriate based on the nature of a change, we may provide additional notice.

Your continued use of the Site after updated Terms become effective will be subject to the revised Terms, except where applicable law requires another form of notice or consent.

  1. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by applicable law.

  1. No Waiver

BioDuro’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

  1. Indemnification

You agree to indemnify, defend, and hold harmless BioDuro and its affiliates, and their respective officers, directors, employees, and agents, from and against third-party claims, damages, liabilities, losses, and reasonable costs and expenses arising out of your violation of these Terms, your unlawful use of the Site, or content or information you submit in violation of applicable law or third-party rights.

  1. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Site will be governed by the laws of the State of California, without regard to its conflict-of-laws principles, except to the extent applicable law requires otherwise.

  1. Dispute Resolution; Binding Arbitration

Except for disputes eligible for small claims court and claims for injunctive or other equitable relief relating to intellectual property rights, unauthorized access to or use of the Site, or violation of Section 5 or Section 6, any dispute, claim, or controversy arising out of or relating to these Terms or the Site between BioDuro and a user who has agreed to be bound by these Terms that cannot be resolved informally will be resolved by binding arbitration administered by JAMS in accordance with its applicable rules. The arbitration will be conducted by one arbitrator in Orange County, California, in the English language. Judgment on the award may be entered in any court having jurisdiction. Nothing in this Section prevents BioDuro from seeking temporary, preliminary, or permanent injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property, confidential information, systems, or Site security.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BIODURO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, EXCEPT TO THE EXTENT APPLICABLE LAW REQUIRES OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BIODURO EACH WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE THAT IS NOT SUBJECT TO ARBITRATION. THIS WAIVER DOES NOT APPLY WHERE A PREDISPUTE JURY WAIVER IS PROHIBITED OR UNENFORCEABLE UNDER APPLICABLE LAW.

  1. General Provisions

You may not access or use the Site in violation of applicable export control, economic sanctions, trade restriction, or other applicable laws. You are responsible for ensuring that your access to and use of the Site is lawful in the jurisdiction from which you access it. Nothing on the Site is intended to represent that BioDuro LLC or any BioDuro affiliate acts as agent for, or has authority to bind, any other BioDuro entity except as expressly stated in a separate written agreement.
